Japan's Umios to absorb TAFCO aquaculture and processed foods businesses in October restructuring

 
 

 

The simplified absorption-type company split will consolidate TAFCO's bluefin tuna farming operations and frozen food business within Umios, while TAFCO refocuses exclusively on fisheries and sustainable fleet development.

 

Umios Corporation, the Tokyo Stock Exchange-listed seafood arm of Japan's former Maruha Nichiro Group, will absorb the aquaculture and processed foods businesses of wholly owned subsidiary Taiyo A&F (TAFCO) through a simplified absorption-type company split effective 1 October 2026, without requiring shareholder approval.

 

The transaction will integrate TAFCO's bluefin tuna farming operations and its frozen vegetables and seasoning business into Umios' existing product lines, with the aim of creating a more diversified portfolio, improving operational efficiency and consolidating advanced aquaculture technologies within the parent entity. Umios said internalising these businesses would allow it to accelerate growth and expand global sales, bringing TAFCO's primarily Japan-focused processed food products to international markets through the group's overseas distribution network.

 

Following the split, TAFCO will refocus exclusively on fisheries operations, deploying new vessels and strengthening sustainable fisheries management practices. Umios said the restructuring reinforces its strategic commitment to sustainable protein and supports its long-term competitiveness and corporate value.
