Vigor Alimentos SA (Vigor), one of the most traditional companies in the Brazilian dairy products industry, informed its shareholders and the market on May 27 that the Brazilian anti-trust authority - CADE - approved the investment on Itambé Alimentos SA (Itambé).

The investment was established on the Share Subscription Agreement and Other Covenants (Transaction) signed between Vigor, the Cooperativa Central dos Produtores Rurais de Minas Gerais Ltda. (CCPR) and Itambé.

Pursuant to the Material Fact released on February 22, 2013, the Transaction is aligned with the Vigor's strategic plan, which includes expansion towards important regions, such as Minas Gerais and Rio de Janeiro States and the northeast region, where Itambé already has significant presence. Offering a diversified product portfolio with product categories ranging from powder and condensed milk, yoghurts to cheese spread, the investment in Itambé will add value to Vigor's operations geographically and products mix.

Stable access to a significant volume of high-quality milk will be one of the main growth drivers for Itambé´s business. The partnership between the two companies will maximize the operations of Itambé, which will continue to grow nationwide with an adequate capital structure, independent operational and administrative processes and professionalised senior management team.
